Terms and conditions — managed Shopware hosting (DRAFT)

Customer: the company that orders the service ("you"). This service is for businesses only (B2B).
1. Service
1.1 We host and operate Shopware Community Edition shops ("shop") on our platform.
1.2 The service includes: hosting, SSL, daily and hourly backups, security updates of the platform, monitoring, Shopware updates (managed plans), and support by email.
1.3 The service does not include: development, design, paid Shopware extensions, ERP integrations, email hosting, domain registration, and marketing. We can offer these for a separate price.

| 2.1 Prices are in EUR, without VAT. We add VAT when the law requires it (reverse charge for EU companies with a valid VAT ID). | ||

3. Payment
3.1 You pay in advance, monthly or yearly, by card or bank transfer.
3.2 If a payment is late: after 3 days we send a reminder; after 7 days we restrict the service (the shop stays online, changes and deployments stop); after 14 days we suspend the shop (a maintenance page shows). We keep the data and the backups for [30] more days. After that we delete them.
3.3 When you pay, we restore the service within one business day.
4. Your obligations
4.1 You are responsible for the content of your shop, for your customers' data and for your legal duties as a shop owner (consumer law, invoices, cookies, GDPR as controller).
4.2 You follow the Acceptable use policy.
4.3 You keep your admin passwords secret and use strong passwords.
4.4 Shopware licences: Shopware Community Edition is free (MIT licence). You are responsible for licences of paid extensions and for any Shopware plan or report that Shopware AG requires, for example when your shop's gross merchandise volume (GMV) passes a limit. We are not responsible for these licences or fees.
4.5 If you own the shop code ("client-owned" option, Plus only), you are responsible for that code and its updates. Outages that your code causes are not covered by the SLA.
5. Our obligations
5.1 We operate the service with professional care and follow the SLA.
5.2 We process personal data for you only as written in the DPA.
5.3 We tell you about planned maintenance at least 48 hours before it starts.
6. Liability
6.1 Our total liability in one year is limited to the fees you paid in the 12 months before the event.
6.2 We are not liable for lost profit, lost revenue or indirect damage, unless the law does not allow this limit (for example for intent or gross negligence).
6.3 The service credits in the SLA are your only remedy for availability problems.
7. Term and end
7.1 The contract runs for the paid period and renews automatically for the same period.
7.2 You can end it at any time with effect at the end of the paid period. Paid periods are not refunded.
7.3 When the contract ends, you can ask for an export (database dump and media files) within 30 days. After 30 days we delete the shop and, at the end of the backup retention, the backups.
7.4 We can end the contract immediately if you break the AUP in a serious way or do not pay after the suspension period.
8. Changes to these terms
We can change these terms with 30 days' notice by email. If you do not agree, you can end the contract before the change starts.
9. Law and disputes
Romanian law applies. The courts of [city], Romania, decide disputes.
